CPK Home Services, Inc. Terms of Service and Conditions of Use

1. Acceptance and Eligibility

Where the Corporate Site presents an unchecked box or another control clearly stating that selecting it signifies agreement, your affirmative action constitutes acceptance of the then-current Terms. For ordinary browsing, these Terms describe the rules governing the Corporate Site to the maximum extent permitted by law. The arbitration provision applies only where a valid agreement to arbitrate has been formed.

You must be at least 18 years old and legally capable of entering a contract. If you use the Corporate Site for an organization, you represent that you are authorized to act for that organization.

2. Purpose of the Corporate Site

The Corporate Site provides information about CPK, its brands, capabilities, technology, nationwide reach, business relationships, and corporate contact channels. It may allow providers, advertising or referral partners, vendors, job candidates, media representatives, and other business contacts to submit inquiries.

The Corporate Site is not itself a home-service contractor, emergency-dispatch service, insurer, lender, claims representative, public adjuster, engineering firm, or professional-advice service. Consumer home-service requests should be made through the applicable brand site.

3. Independent Providers and Brand Services

Home-service work connected through a CPK brand is performed by independent service providers. Unless expressly stated in a separate signed agreement, CPK does not employ those providers, control their day-to-day work, set their prices, enter their contracts with consumers, or warrant their services.

A provider is responsible for its own licensing, insurance, personnel, safety, permits, contracts, pricing, representations, warranties, workmanship, and legal compliance. A consumer remains responsible for evaluating a provider and reviewing the provider’s written scope, price, credentials, insurance, and contract before authorizing work.

4. Business and Partner Inquiries

Submitting an inquiry does not create a partnership, agency, employment relationship, joint venture, franchise, fiduciary duty, exclusivity obligation, provider-network membership, advertising commitment, or contract. No relationship exists unless CPK and the other party execute a separate written agreement signed by authorized representatives.

You agree to provide accurate information and not to submit confidential, proprietary, regulated, or sensitive information unless CPK has expressly agreed to receive it through an approved channel. CPK may decline, archive, or delete unsolicited proposals, résumés, ideas, or materials.

5. No Professional, Financial, Insurance, or Legal Advice

Corporate Site content is general information. It is not legal, insurance, financial, tax, engineering, safety, employment, investment, or other professional advice. Statements about markets, technology, performance, reach, capabilities, or business opportunities are not guarantees of future results.

6. Calls and Communications

Telephone numbers displayed on the Corporate Site may use call-tracking or routing technology. Calls may be monitored, recorded, or transcribed after legally sufficient notice for routing, quality, training, security, fraud prevention, attribution, dispute resolution, and compliance. If you do not agree to recording, end the call and contact us by email.

Providing contact information authorizes CPK to respond to the inquiry using the channel provided. It does not by itself authorize unrelated marketing calls, texts, prerecorded messages, or artificial-voice messages where separate consent is required by law.

7. User Submissions

You retain ownership of materials you submit. You grant CPK a nonexclusive, worldwide, royalty-free license to host, copy, review, process, transmit, and disclose them only as reasonably necessary to evaluate or respond to the inquiry, operate and secure the Corporate Site, comply with law, or resolve a dispute.

You represent that you have authority to submit the materials and that they do not violate another person’s privacy, confidentiality, intellectual-property, publicity, contractual, or other rights.

8. Acceptable Use

You may not misuse the Corporate Site, interfere with security or availability, submit fraudulent or abusive inquiries, impersonate another person, scrape or harvest content or contact information at scale, use CPK branding deceptively, introduce malicious code, attempt unauthorized access, or violate applicable law or third-party rights.

9. Intellectual Property

The Corporate Site and its text, designs, software, graphics, photographs, logos, domain names, trade dress, databases, and compilations are owned by or licensed to CPK and protected by law. CPK Home Services, 3D Roofs, Water Restoration Pros, Electrician Quotes, HVAC Rescue, Plumbing Advisors, Window Replacers, CallBathroom.com, and associated marks are owned by CPK or its licensors.

You may use the Corporate Site only for lawful informational purposes. No right to reproduce, distribute, modify, train a model on, create derivative works from, or commercially exploit the Corporate Site is granted without written permission.

10. Third-Party Sites and Brand Links

The Corporate Site may link to CPK brand sites and third-party services. Those sites have their own terms, privacy notices, security, content, and availability. A link does not create a guarantee, endorsement, agency relationship, or responsibility for the third party’s acts or omissions.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CORPORATE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CPK DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

CPK does not warrant that the Corporate Site will be uninterrupted, secure, error-free, complete, current, or suitable for a particular purpose, or that any inquiry will receive a response or result in a business relationship.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, VENDORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM USE OF THE CORPORATE SITE, RELIANCE ON ITS CONTENT, A THIRD-PARTY SITE, AN UNANSWERED INQUIRY, OR A BUSINESS DECISION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF THE CORPORATE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO CPK FOR USE OF THE CORPORATE SITE DURING THE 12 MONTHS BEFORE THE EVENT OR $100.

These limitations do not exclude liability that cannot lawfully be excluded, including CPK’s own fraud, willful misconduct, or gross negligence where applicable law prohibits limitation.

13. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless CPK and its personnel from third-party claims arising from information or materials you submit without authority, your violation of these Terms or law, your infringement of another person’s rights, or your fraudulent, abusive, or unauthorized use of the Corporate Site. This section does not require indemnification for CPK’s own conduct where indemnification cannot lawfully be required.

14. Dispute Resolution; Arbitration; Class-Action Waiver

Before filing a claim, the complaining party must email info@cpkhome.com with the subject “Dispute Notice” and provide enough information to understand the dispute and requested relief. The parties will attempt informal resolution for 30 days.

Except for an eligible individual small-claims matter, a request for temporary relief concerning intellectual property or unauthorized system access, or a matter that law permits a government agency to decide, disputes arising from the Corporate Site or these Terms will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its applicable consumer rules. The Federal Arbitration Act governs this provision.

YOU AND CPK AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. To the extent a dispute proceeds in court, each party waives a jury trial to the maximum extent permitted by law.

You may opt out of arbitration by emailing info@cpkhome.com with the subject “Arbitration Opt-Out” within 30 days after you first affirmatively accept these Terms. Include your name, contact information, and a clear statement that you are opting out.

15. Governing Law

Except as governed by the Federal Arbitration Act or prohibited by applicable consumer law, these Terms are governed by Texas law, without regard to conflict-of-law principles. A non-arbitrable dispute will be heard in a state or federal court in Texas with proper jurisdiction, except an eligible individual small-claims matter may be filed in a court of competent jurisdiction.

16. Changes, Severability, and Assignment

We may update these Terms prospectively. The Last Updated date identifies the latest revision. If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. CPK may assign these Terms in connection with a merger, financing, reorganization, sale, or transfer of the Corporate Site. You may not assign them without written consent.

Nothing in these Terms creates an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship. CPK is not liable for delay caused by events beyond its reasonable control.
